Ethical Business Guideline

Objectives

The Ethical Business Guideline, based on the "Mission Statement (Code of Conduct of CyberAgent)," establishes the fundamental principles of conduct for directors, employees (including part-time and temporary employees), and individuals involved in the company's operations, including suppliers. This guideline ensures that the interests of stakeholders are respected and that our company fulfills its social obligations as a corporation.

Social Obligations

We take the following matters into consideration when developing and offering services and products.

1) We develop and offer services and products that are useful for society while recognizing the diversifying needs of consumers and customers.

2) We ensure that our services and products meet the safety and quality level.

3) We provide consumers and customers with accurate and relevant information about our services and products.

4) We respond in good faith to questions, etc., from consumers and customers.

5) We protect personal and customer information appropriately, in accordance with our provisions for protecting personal information.

Fair Trading

We are committed to fair, transparent, and free competition as well as appropriate trading practices. In addition, we maintain healthy and normal relationships with political and governmental authorities. Simultaneously, we build an in-house structure that promotes and secures compliance with the law, while raising awareness among our directors and employees in regard to the Antimonopoly Law and related regulations.

Protecting the Intellectual Properties

We manage the secret information of our company and respect and protect the intellectual properties of third parties and our own.

Disclosure of Corporate Information

Taking the following matters into consideration, we shall communicate with society broadly, disclose corporate information actively and fairly.

1) We offer accurate information to shareholders, investors, and others and promote communication with them through shareholders’ meetings and investor relations (IR) activities.

2) We comply with the laws and regulations regarding the prevention of insider trading in accordance with our provisions for insider information management.

3) We disclose timely and appropriate information to stakeholders through public relations functions.
 

Respect for Human Rights

Taking the following matters into consideration, we are committed to respecting the diversity, personalities, and individuality of our employees and securing a safe and comfortable work environment.

1)  We promote good work-life balance and produce a personnel and treatment system that enables diverse human resources to work with us.

2) We eliminate discrimination in employment and treatment, and work towards equal employment opportunities.

3) We prevent accidents at workplaces and support the employees’ health promotion.

4) We respect the individuality of our employees and provide support so that they can develop their careers and potential abilities.

5) We engage ourselves in dialogues and discussions, in good faith, with our employees directly or with the representatives of the employees.

6) We strictly forbid child labor and forced labor.

Address Anti Social Forces

We resolutely oppose to antisocial forces and organizations that pose a threat to the order and safety of civil society in order to prevent damages.

International Business Operation

We adhere to international rules and local laws as well as respect local culture and customs in international business activities.

Management Leadership

Directors shall recognize that it is their role to realize these guidelines, taking into consideration the following matters, and shall ensure thorough implementation of corporate ethics by developing internal policies and systems.

1) Directors demonstrate maximum leadership to clarify our “Vision”.

2) Directors express the basic stance of the "Vision" and "Mission Statement" outside the company and disclose information on any specific initiatives.

3) Directors promote company-wide efforts for corporate ethics.
 

Contribution to Sustainable Society

We, centered on our core businesses, will collaborate with various stakeholders of our company to contribute to the realization of a sustainable society by responding to social issues.
